      Independent Board of Directors (BoD) is important in an organization. I believe management should not be on the BoD because it can create a conflict of interest. Management interest might not align with the shareholders/owners. Management might have more incentive to increase short-term gain at a cost of long-term loss.

      Hi Tina, I agree – but only if the incentives for management to benefit from short-term, rather than long-term, gain are built into the governance structure — which is extremely common but not nearly as crucial for motivation as most people believe. This applies to performance bonuses for staff and executives as well as to shareholders — if shareholders are promised short-term gain they will demand it, but some firms have done very well by explaining to shareholders that if they want to buy in, they have to buy in for the long run.
